Ms. Husband’s expertise includes complex commercial transactions, contracts negotiation and management, private equity investment, business formation, corporate governance and e-commerce.
Prior to joining Manning Sossamon, Ms. Husband was an associate in the Finance and Real Estate group at Dechert, LLP and in the Structured Finance group at Orrick, Herrington & Sutcliffe, LLP. At both firms, Ms. Husband’s practice focused on sophisticated corporate transactions for financial institutions and private and public companies.
Representative Matters
- Negotiated and drafted investor disclosure, operative documents and derivative documents in connection with clients’ public and private securities offerings.
- Advised emerging business on all aspects of e-commerce website, including terms of use, privacy policy and online advertising agreement.
- Coordinated and drafted primary transaction documents for multi-million dollar acquisition and merger agreement.
- Negotiated, drafted and managed high volume of commercial contracts for sophisticated business operations, including master services agreements, software and intellectual property licenses, engineering and construction contracts, and sales, advertising and marketing arrangements.
- Conducted and supervised due diligence for multi-jurisdictional, complex commercial transactions.
- Provided full legal support to shareholder annual meetings and boards of directors meetings.
